IMPORTANT: By accessing or using the DendroTrack platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, the Privacy Policy, and the Beta Tester Addendum contained in this document. If you do not agree to any portion of this agreement, you must not use the Service.
PART I — Terms of Service
Section 1. Acceptance of Terms
By accessing or using the DendroTrack beta platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms apply specifically to the beta release of DendroTrack and may be updated as the platform evolves. Your continued use of the Service following any revision constitutes your acceptance of the updated Terms.
Section 2. Beta Service Disclaimer
DendroTrack is currently provided as a beta service. Users acknowledge that:
- Features may change without notice
- The platform may contain bugs or errors
- Downtime or instability may occur
- Certain features may be incomplete
- Data loss is possible during beta testing
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Users are strongly encouraged to maintain their own backups of all important records.
Section 3. Eligibility
You must be at least 18 years of age to use the Service. By using DendroTrack, you represent and warrant that:
- You have the legal authority to enter into these Terms
- Your use complies with all applicable laws and regulations
- You will not use the Service for any unlawful purpose
By creating an account or affirmatively accepting these Terms at registration, you confirm that you meet the eligibility requirements above.
Section 4. User Accounts
To access certain features of the Service, users may be required to create an account. You are solely responsible for:
- Maintaining the security and confidentiality of your account credentials
- All activities that occur under your account
- Ensuring your account information remains accurate and up to date
You agree to notify DendroTrack immediately of any unauthorized access to your account or any other security breach at support@dendrotrack.com. DendroTrack will not be liable for any loss or damage arising from your failure to maintain the security of your account.
Section 5. Acceptable Use
You agree not to use the Service in any manner that:
- Involves illegal, fraudulent, defamatory, or infringing activities
- Uploads or transmits malicious software, harmful code, or viruses
- Attempts unauthorized access to any system, account, or network
- Interferes with platform stability, performance, or the experience of other users
- Employs automated scraping, crawling, or abusive API requests
- Impersonates another user, organization, or DendroTrack
- Uploads content that is unlawful, fraudulent, defamatory, or infringes third-party rights
DendroTrack reserves the right to investigate suspected violations and, in its sole discretion, to suspend or permanently terminate accounts found to be in violation of these Terms without prior notice.
Section 6. User Data & Ownership
Users retain full ownership of all data they submit to the platform, including without limitation frog records, breeding records, photographs, notes, customer information, and sales records. DendroTrack does not claim any ownership interest in user-submitted content.
By uploading or submitting content to the Service, you grant DendroTrack a limited, non-exclusive, worldwide, royalty-free license to store, process, display, back up, and transmit such content solely as necessary for operating and improving the Service. This license terminates upon the deletion of your content or the closure of your account, subject to reasonable backup retention periods set forth in the Privacy Policy.
Section 7. Data Export & Portability
DendroTrack is committed to data portability. Users may request or export their records in supported formats where available through the platform interface.
Beta limitations may affect export functionality during early development phases. DendroTrack will make reasonable efforts to support data export prior to any significant platform change that affects data availability.
Section 8. Privacy
Your use of the Service is also governed by the DendroTrack Privacy Policy set forth in Part II of this document, which is incorporated herein by reference. By using the Service, you acknowledge and agree to the terms of the Privacy Policy.
Section 9. Intellectual Property
The DendroTrack platform, including but not limited to its branding, logos, software, design, interface elements, documentation, and proprietary workflows, is owned exclusively by DendroTrack and Joshua Cunningham, and is protected under applicable intellectual property laws.
Without prior written permission from DendroTrack, users may not:
- Copy, reproduce, or duplicate any portion of the Service
- Reverse engineer, decompile, or disassemble the platform
- Redistribute, resell, or republish any Service component
- Create derivative works based on the Service
Section 10. Community Features
Certain platform features may allow public or semi-public user-generated content, including breeder profiles, public frog listings, shared lineage information, and community submissions.
Users are solely responsible for any content they choose to make public through the Service. DendroTrack reserves the right to moderate, edit, or remove content that violates platform rules, these Terms, or applicable law, without prior notice.
Section 11. Third-Party Services
The Service may integrate with or rely upon third-party providers, which may include payment processors, email providers, analytics platforms, and cloud hosting providers. DendroTrack is not responsible for the availability, reliability, or actions of any third-party services, including service outages, data handling practices, or errors caused by such providers.
Users are encouraged to review the privacy policies and terms of service of third-party providers that are relevant to their use of the Service. Third-party integrations are subject to change.
Section 12. Payment & Subscription Terms
12.1 Subscription Billing. Some features of the Service may require a paid subscription. By subscribing, you:
- Authorize recurring billing at the applicable rate and billing cycle
- Agree to pay all fees associated with your selected plan
- Acknowledge that subscription pricing may change upon notice as described in Section 18
Beta users may receive temporary discounts, grandfathered pricing, or promotional access at DendroTrack's sole discretion.
12.2 Refund Policy. All subscription fees are non-refundable except as expressly required by applicable law. DendroTrack does not provide pro-rated refunds for partial billing periods upon cancellation. If DendroTrack permanently discontinues the Service or a materially significant feature you subscribed to, DendroTrack will evaluate refund eligibility on a case-by-case basis.
Requests for refund exceptions may be submitted to support@dendrotrack.com and will be reviewed at DendroTrack's discretion. DendroTrack's decision on any refund request is final.
Section 13. Cancellation & Termination
13.1 User Cancellation. Users may cancel their subscription at any time through account settings or by contacting support@dendrotrack.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features through the end of the period for which you have paid.
13.2 Termination by DendroTrack. DendroTrack reserves the right to suspend or terminate your account, with or without notice, for:
- Violations of these Terms or the Beta Tester Addendum
- Abuse of the platform or its community features
- Fraudulent or unlawful activity
- Harmful conduct toward the community or the Service
- Non-payment of applicable fees
13.3 Post-Termination Data. Upon cancellation or termination of your account:
- Your access to the Service will be revoked at the end of the applicable period
- You will have thirty (30) days from the date of termination to export or download your data using the available export tools
- After the 30-day export window, DendroTrack will initiate deletion of your personal data and account records
- Backup copies will be purged within ninety (90) days of the deletion date
- DendroTrack may retain certain information as required by law or for legitimate operational purposes, as described in the Privacy Policy
Section 14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DENDROTRACK AND ITS OWNER, JOSHUA CUNNINGHAM, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION:
- Data loss or corruption
- Lost profits or revenue
- Breeding losses or husbandry failures
- Animal health outcomes
- Business interruption
- Reliance on platform recommendations, reminders, analytics, or AI-assisted features
In no event shall DendroTrack's total cumulative liability to you for any claims arising from or relating to these Terms or the Service exceed the greater of (a) the total fees paid by you to DendroTrack in the twelve (12) months immediately preceding the claim, or (b) fifty U.S. dollars ($50.00).
Users remain solely responsible for all animal care decisions, husbandry practices, and outcomes. Nothing in the Service constitutes professional or expert guidance on which users should solely rely.
Section 15. No Veterinary or Professional Advice
DendroTrack does not provide veterinary, medical, legal, financial, or professional breeding advice of any kind. Any recommendations, reminders, analytics, or AI-assisted features offered through the Service are provided for informational and organizational purposes only and do not constitute professional advice.
Users should consult qualified and licensed professionals for veterinary care, legal guidance, financial decisions, and other matters requiring expert judgment. Reliance on any information provided by the Service is at your own risk.
Section 16. Indemnification
You agree to indemnify, defend, and hold harmless DendroTrack, its owner Joshua Cunningham, and any successors, assigns, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Any content you submit or make public through the Service
- Your violation of these Terms, the Privacy Policy, or the Beta Tester Addendum
- Your violation of any applicable law or third-party right
Section 17. Modifications to the Service
DendroTrack may, at any time and without prior notice during beta development:
- Add, modify, or remove features or functionality
- Adjust pricing structures
- Discontinue portions or the entirety of the Service
- Perform maintenance, upgrades, or system migrations
DendroTrack will make reasonable efforts to provide advance notice of significant service changes or discontinuations once the platform exits beta, but assumes no obligation to do so during the beta period.
Section 18. Modifications to These Terms
DendroTrack reserves the right to modify these Terms at any time. When material changes are made, DendroTrack will provide notice by one or more of the following mechanisms:
- Sending an email to the address associated with your account
- Displaying a prominent in-app notification or banner upon login
- Posting an updated version of these Terms at https://dendrotrack.com
Revised Terms will take effect thirty (30) days from the date of notice, except where changes are required by applicable law, in which case they will take effect immediately. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to revised Terms, you must stop using the Service before they take effect and may request account deletion pursuant to Section 13.
Section 19. Dispute Resolution & Arbitration
19.1 Informal Resolution. Before initiating any formal dispute, you agree to first contact DendroTrack at support@dendrotrack.com and attempt to resolve the dispute informally. DendroTrack will make reasonable efforts to address your concern within thirty (30) days.
19.2 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Service shall be resolved exclusively by binding arbitration administered under the rules of the American Arbitration Association ("AAA") or a mutually agreed alternative arbitration provider. Arbitration shall take place in the State of Michigan or via remote/written proceeding at the arbitrator's discretion.
The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs of arbitration, except that the arbitrator may award costs and fees to the prevailing party where permitted by applicable rules.
19.3 Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in a small claims court of competent jurisdiction in lieu of arbitration, provided that the action remains in small claims court and is not transferred or removed to a court of general jurisdiction.
19.4 Class Action Waiver. YOU AND DENDROTRACK EACH WAIVE ANY RIGHT TO BRING, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR COLLECTIVE PROCEEDING. If this waiver is found to be unenforceable, the arbitration clause in Section 19.2 shall not apply to that claim.
Section 20. Severability
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, unlawful, or unenforceable for any reason, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity of any one provision shall not affect the validity of any other provision.
Section 21. Entire Agreement
These Terms, together with the Privacy Policy and Beta Tester Addendum contained herein, constitute the entire agreement between you and DendroTrack with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, understandings, and communications, whether oral or written, relating to the Service.
No waiver by DendroTrack of any breach or default shall constitute a waiver of any subsequent breach or default. The failure of DendroTrack to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Section 22. Force Majeure
DendroTrack shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters, or extreme weather events
- Fires, floods, earthquakes, or pandemics
- War, terrorism, governmental actions, or civil unrest
- Failures or disruptions of third-party hosting, infrastructure, or internet services
- Cyberattacks, distributed denial-of-service attacks, or security incidents beyond DendroTrack's reasonable control
- Power outages or telecommunications failures
In the event of a qualifying force majeure event, DendroTrack's obligations will be suspended for the duration of such event. DendroTrack will make reasonable efforts to notify affected users and resume normal operations as soon as practicable.
Section 23. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any dispute not subject to arbitration under Section 19 shall be subject to the exclusive jurisdiction of the state and federal courts located in Michigan.

PART II — Privacy Policy

Section 1. Introduction
DendroTrack respects your privacy and is committed to protecting your personal information. This Privacy Policy explains how we collect, use, store, share, and protect information when you use the DendroTrack Service.
By using the Service, you acknowledge that you have read and understood this Privacy Policy. If you are located in California or another jurisdiction with specific privacy rights, please see the applicable sections below for additional disclosures.
Section 2. Information We Collect
2.1 Account Information. When you register for or use the Service, we may collect:
- Full name
- Email address
- Username and password (stored in encrypted form)
- Billing information and payment method details (processed by third-party payment providers)
- Organization or breeder name
2.2 User Content. You may upload or submit content to the Service, including:
- Frog records, breeding records, and lineage data
- Photographs and media files
- Health notes, feeding logs, and environmental data
- Sales records and customer contact information
2.3 Usage Data. We may automatically collect certain information when you use the Service:
- Device type, operating system, and browser type
- IP address and approximate geographic location
- Pages visited, features used, and session activity
- Error logs and performance metrics
Section 3. How We Use Information
3.1 Purposes. We use collected information to:
- Operate and maintain the platform
- Authenticate users and secure accounts
- Process subscriptions and payments
- Deliver reminders, notifications, and feature updates
- Provide customer support
- Improve platform performance, features, and usability
- Detect, investigate, and prevent abuse, fraud, or security incidents

- Contractual necessity — to perform our obligations under these Terms, including operating your account and delivering the Service

Section 4. Data Sharing
DendroTrack does not sell, rent, or trade your personal information to third parties.
We may share data only with trusted third-party service providers acting on our behalf, including:
- Hosting and infrastructure providers (e.g., cloud storage, database services)
- Payment processors (e.g., Stripe)
- Email delivery services (e.g., Resend)
- Analytics providers (aggregated, non-identifiable usage data only)
All such providers are contractually obligated to handle your data only as necessary to provide their services and in compliance with applicable privacy laws. Aggregated and anonymized data that cannot reasonably be used to identify you may be used for analytics, benchmarking, or platform research.
Section 5. Public Information
Certain features of the Service allow you to make information publicly visible, including breeder profiles, public frog listings, shared lineage data, and availability listings.
You control what information you choose to make public. Once information is made public, DendroTrack cannot guarantee that it will not be copied or retained by third parties. You should carefully consider what information you publish through community features.
Section 6. Data Security & Breach Notification
6.1 Security Safeguards. DendroTrack implements reasonable technical and organizational safeguards to protect your personal information from unauthorized access, disclosure, alteration, or destruction. These measures include encrypted data transmission, access controls, and secure credential storage.
However, no online service can guarantee absolute security. Users acknowledge the inherent risks of internet-based systems and are encouraged to use strong, unique passwords and enable any available account security features.
6.2 Breach Notification. In the event of a data security breach that is reasonably likely to result in risk to your rights or freedoms, DendroTrack will:
- Notify affected users by email within seventy-two (72) hours of discovering the breach, to the extent practicable
- Describe the nature of the breach, the categories of data affected, and any steps users should take
- Notify applicable regulatory authorities where required by law
Notification timelines may be extended where required by ongoing law enforcement investigations.
Section 7. Data Retention
DendroTrack retains personal information only as long as necessary for the purposes described in this Privacy Policy or as required by applicable law.
Specific retention timelines are as follows:
- Active account data: Retained for the duration of your active account
- Deletion upon request: Personal data will be deleted within thirty (30) days of a verified deletion request submitted to privacy@dendrotrack.com
- Backup purge: Data removed from active systems will be purged from backup systems within ninety (90) days
- Legal obligations: Certain data may be retained longer where required to comply with legal obligations, resolve disputes, enforce agreements, or prevent fraud
- Anonymized data: Aggregated, anonymized data that cannot identify you may be retained indefinitely for analytics and platform improvement

Section 8. Cookies & Analytics
DendroTrack may use cookies, local storage, and similar tracking technologies to maintain user sessions, improve functionality, analyze platform usage, and enhance performance.
Types of cookies we may use:
- Strictly necessary cookies — required for core platform functionality and security (cannot be disabled)
- Functional cookies — remember your preferences and settings
- Analytics cookies — collect aggregate usage data to help us improve the Service (optional)
You may disable non-essential cookies in your browser settings at any time. Please note that doing so may affect the availability or functionality of certain features. To opt out of analytics tracking specifically, you may use your browser's "Do Not Track" signal or contact privacy@dendrotrack.com to request exclusion from analytics data collection.
Section 9. Third-Party Services
Third-party service providers integrated with or supporting DendroTrack may collect and process information independently under their own privacy policies. Examples of third-party providers may include:
- Stripe — payment processing
- Cloudflare — content delivery and security
- Turso — database infrastructure
- Resend — transactional email delivery
- Analytics platforms — aggregated usage insights
DendroTrack is not responsible for the privacy practices of third-party providers. Users are encouraged to review applicable third-party privacy policies independently. The use of third-party integrations is subject to change.
Section 10. Children's Privacy
DendroTrack is not intended for users under 18 years of age. We do not knowingly collect or solicit personal information from children under 18. If we become aware that we have inadvertently collected personal information from a minor, we will promptly delete that information.
If you believe a minor has provided personal information through the Service, please contact us immediately at privacy@dendrotrack.com.
Section 11. Your Privacy Rights
11.1 General Rights. Subject to applicable law, you may have the following rights regarding your personal information:
- Access — Request a copy of the personal information we hold about you
- Correction — Request correction of inaccurate or incomplete personal data
- Deletion — Request deletion of your personal data, subject to retention requirements
- Portability — Request your data in a structured, machine-readable format
- Objection — Object to certain processing activities based on legitimate interests
- Opt-out of analytics — Request exclusion from optional analytics data collection
To exercise any of these rights, contact privacy@dendrotrack.com. We will respond to verified requests within thirty (30) days. We may need to verify your identity before fulfilling your request.
11.2 California Residents — CCPA Disclosures. If you are a California resident, you have additional rights under the California Consumer Privacy Act ("CCPA") and California Privacy Rights Act ("CPRA"):
- Right to know what personal information we collect, use, disclose, and sell or share
- Right to delete personal information we have collected from you
- Right to correct inaccurate personal information
- Right to opt-out of the sale or sharing of personal information
- Right to limit use and disclosure of sensitive personal information
- Right to non-discrimination for exercising your privacy rights
DendroTrack does NOT sell or share personal information as defined under the CCPA/CPRA. We do not exchange your personal data for monetary or other valuable consideration with third parties for their independent commercial use.
To submit a CCPA rights request, contact privacy@dendrotrack.com with the subject line "CCPA Privacy Request." You may also designate an authorized agent to submit requests on your behalf. We will respond within forty-five (45) days as required by law.
Section 12. International Users
DendroTrack is operated from and targeted primarily at users in the United States. If you access the Service from outside the United States, you acknowledge that your personal information may be transferred to, stored in, and processed in the United States or other jurisdictions where data protection laws may differ from those in your country.
By using the Service, you consent to such transfers. DendroTrack will handle your information in accordance with this Privacy Policy regardless of where it is processed.
Section 13. Changes to This Privacy Policy
DendroTrack may update this Privacy Policy periodically to reflect changes in our practices, legal requirements, or the Service. When material changes are made, we will notify you using the same notification mechanisms described in Terms of Service Section 18 (email, in-app notification, and website posting).
The revised Privacy Policy will take effect thirty (30) days from the date of notice. Your continued use of the Service after the effective date constitutes your acceptance of the updated Privacy Policy.

PART III — Beta Tester Addendum
Effective Date: May 15, 2026
This Beta Tester Addendum ("Addendum") supplements and forms part of the Terms of Service and Privacy Policy above. It applies specifically to users participating in the DendroTrack early-access beta program. In the event of any conflict between this Addendum and the main Terms, this Addendum controls with respect to beta participation.
Section 1. Early Access Participation
Beta users acknowledge that they are participating in an early-access testing program for a product that has not yet been publicly released. As a beta participant, you may be invited or expected to:
- Submit feedback on platform features and usability
- Report bugs, errors, or unexpected behaviors
- Participate in structured or unstructured feature testing
- Provide written or verbal usability feedback upon request
Participation in the beta program is voluntary. You may withdraw from the program at any time by notifying info@dendrotrack.com.
Section 2. Experimental Features
Beta features are inherently experimental and are provided for testing purposes only. Beta features may:
- Change substantially in design, function, or behavior
- Be removed entirely before or after public release
- Produce inaccurate, incomplete, or unexpected results
- Cause unintended data behavior or application instability
You should not rely exclusively on beta features for mission-critical recordkeeping. DendroTrack strongly recommends maintaining independent backups of all breeding records, health data, and other information you upload during the beta period.
Section 3. Feedback License
By submitting feedback, bug reports, suggestions, feature requests, or other ideas to DendroTrack ("Feedback"), you grant DendroTrack a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and incorporate such Feedback into the Service or any other product or service without restriction.
You acknowledge that DendroTrack is under no obligation to compensate you for Feedback, credit you as the source, implement your suggestions, or maintain the confidentiality of your Feedback unless expressly agreed in writing.
Section 4. Confidentiality Obligations
In the course of beta participation, you may be exposed to non-public information about the DendroTrack platform, including unreleased features, design specifications, roadmap details, proprietary workflows, or business information ("Confidential Information").
You agree to:
- Hold all Confidential Information in strict confidence
- Not disclose any Confidential Information to any third party without prior written consent from DendroTrack
- Not publish, post, stream, screenshot, or otherwise share Confidential Information in any public or semi-public channel
- Use Confidential Information solely for the purpose of participating in the beta program
These obligations are binding and enforceable. This obligation survives the termination of your beta participation and remains in effect until the relevant information is publicly released by DendroTrack or is otherwise publicly available through no fault of your own.
Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Addendum; (b) was rightfully known to you before disclosure; or (c) is independently developed by you without reference to the Confidential Information.
Section 5. No Guaranteed Availability
Beta access is provided as-is and on an as-available basis. DendroTrack reserves the right to modify, suspend, limit, or revoke beta access at any time and without prior notice for any or no reason.
DendroTrack makes no commitment regarding the timeline for public release, the availability of specific features, or the continuation of any beta program. Participation in the beta program does not guarantee access to the publicly released platform or any specific pricing tier.
